General Terms & Conditions

1. Overview

These Terms & Conditions (“Agreement”) govern all free and paid products, services, programs, courses, digital downloads, workshops, webinars, and related materials (collectively, the “Offers”) provided by Luyi Kathy Zhang (“we,” “us,” or “our”).

By accessing, enrolling in, downloading, or otherwise participating in any Offer, you (“you,” “your,” “Participant”) acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions, including all disclaimers and limitations of liability herein.

2. Educational & Informational Purposes Only

All content provided through any Offer is for educational and informational purposes only. It is not medical advice, legal advice, financial advice, psychological counseling, or a substitute for professional care of any kind.

4. Intellectual Property

All content within the Offers—including but not limited to text, audio, video, graphics, images, downloads, and materials—is the intellectual property of Luyi Kathy Zhang and is protected by U.S. and international copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license for personal use only. You may not reproduce, distribute, share, sell, sublicense, record, or otherwise exploit any portion of the content without prior written consent.

5. Prohibited Conduct

You agree not to:

  • Share, post, or redistribute any program content publicly or with third parties;

  • Use the content to provide competing products or services;

  • Impersonate or misrepresent your affiliation with any person or entity;

  • Engage in any unlawful, fraudulent, or abusive activity related to the Offers.

Violation of these terms may result in immediate termination of access and potential legal action.

6. Limitation of Liability

To the maximum extent permitted by law, liability for any claim arising from or related to your participation in any Offer is limited to the total amount you paid for that Offer, if applicable.

In no event shall we or our affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.

Nothing in this Agreement shall be construed to exclude or limit liability for gross negligence, fraud, willful misconduct, or any other liability that cannot be excluded under New York law or applicable international law.

7. International Participants

If you access or participate in any Offer from outside the United States, you are solely responsible for compliance with your local laws and regulations.

We make no representation that the content is appropriate or available for use in other jurisdictions, and participation is at your own risk.

8. Refund Policy

All sales are final. No refunds will be issued under any circumstances.

Participants in jurisdictions with mandatory “cooling-off” periods for digital goods (such as under EU law) hereby acknowledge and agree that by accessing or downloading the content, you expressly waive any right of withdrawal or cancellation under applicable law.

9. Privacy & Data

By enrolling in or accessing any Offer, you consent to the collection and use of your information as described in our Privacy Policy. We may use your email or contact information to deliver materials, updates, or marketing communications, from which you can unsubscribe at any time.

10. Governing Law & Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles.

Any dispute arising out of or related to this Agreement shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.

11. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12. Entire Agreement

These Terms & Conditions constitute the entire agreement between you and us regarding your participation in the Offers and supersede any prior agreements, representations, or understandings.
